Just looked on the underbody of my 2002 IS300 5-spd and saw rust forming on the gas tank...never noticed it before...never looked. Should i be worried? Should i be painting over this rust or sanding it down? Or should i do nothing?

That's not the fuel tank. That's the spare tire well. The fuel tank is inside the car under the rear seat.

So, yes, remove the rust and paint it.

Take a wire brush and brush it clean then hit it with some rust reformer. Then use some rubberized under coating.

Yeah id wire wheel and coat that.

You can see the back of the tank in one of the photos with rust spots on it as well, would pay to hit that as well. Just dont use anything with sparks

Thank-you all for pointing this out...i would've just assumed this is the fuel tank and not noticed the rust on the actual fuel tank under the rear seats! I sprayed the spare tire well with Rust Destroyer a few days ago. I plan to do the fuel tank as well soon. I will wipe off the flaky loose rust parts first.
